Dark-store offers may be structured as a franchise, managed outlet, fulfilment partnership, dealership or property arrangement. Identify who controls pricing, assortment, delivery staff, technology and customer ownership before comparing the opportunity with a normal retail franchise.
Order density matters more than city-level demand
Fast delivery depends on enough repeat orders inside a compact service radius. Review the specific catchment, apartment density, competing apps, local basket size, operating hours and the platform’s evidence for projected orders at your proposed pin code.
What is included in the investment? What support continues after launch? Which assumptions drive the payback estimate?
Working capital can move faster than expected
A broad assortment ties up cash and creates expiry, damage, shrinkage and stock-reconciliation risk. Confirm who buys the inventory, who bears unsold stock and how frequently settlements, returns and promotional deductions are reconciled.
Model every cost behind the delivery promise
Include rent, fit-out, racks, refrigeration, software, picking staff, utilities, packaging, wastage, security and delivery-related charges assigned to the partner. Test margins after discounts and incentives rather than treating gross order value as revenue.
Check your dependence on one platform
The agreement should explain territory, order allocation, commission changes, performance targets, data access and suspension rules. A model can become fragile if the platform can reduce the service radius or change commercial terms without a practical exit route.
Verify the operator, not just the trend
Ask for live partner locations, audited or documentary unit economics and direct conversations with operators who have completed several months. Avoid paying on the basis of a famous category name when the offering company, technology or network relationship cannot be independently verified.
Consider lower-risk ways to enter the category
Existing retailers may test local delivery, click-and-collect, fulfilment for multiple channels or a smaller neighbourhood warehouse before committing to a dedicated dark store. The best format is the one that can survive without permanent launch incentives.
